1. Agreement to Terms
By accessing or using the services provided by AtriumPay ("AtriumPay", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use our services.
2. Description of Services
AtriumPay provides a cryptocurrency payment gateway that allows merchants ("Merchants") to accept various digital assets from their customers ("Users"). We facilitate the processing, conversion (if applicable), and settlement of digital asset transactions.
3. Eligibility and Compliance
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. You are responsible for ensuring that your use of AtriumPay complies with all laws and regulations applicable to you, including but not limited to Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) requirements.
4. Cryptocurrency Risks and Volatility
Risk Warning: Cryptocurrency prices are extremely volatile and can fluctuate significantly in very short periods. By using AtriumPay, you acknowledge that:
- The value of digital assets may drop to zero.
- Transactions on the blockchain are irreversible. AtriumPay cannot reverse, cancel, or refund any transaction once it has been broadcast to the network.
- Technical issues, including network congestion or forks, may delay or affect transaction processing.
5. Merchant Obligations
Merchants using AtriumPay must provide accurate information, maintain the security of their API keys and account credentials, and comply with all applicable tax obligations. Merchants are prohibited from using AtriumPay for illegal activities, including but not limited to fraud, money laundering, or the sale of prohibited goods/services.
6. Fees and Settlements
AtriumPay charges fees for its services as disclosed on our website or in your merchant agreement. Settlements are processed according to the schedule and method agreed upon. We reserve the right to delay settlements in cases of suspected fraud or pending compliance reviews.
7. Intellectual Property
All content, trademarks, logos, and software associated with AtriumPay are the property of AtriumPay or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive license to use our services as intended.
8. Limitation of Liability
To the maximum extent permitted by law, AtriumPay shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or digital assets, arising out of or in connection with your use of our services. Our total liability shall not exceed the fees paid by you to AtriumPay in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold AtriumPay harmless from any claims, losses, or damages arising out of your breach of these terms, your violation of any law, or your infringement of any third-party rights.
10. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without notice, if we believe you have violated these terms or for any other reason at our sole discretion.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law principles.
12. Changes to Terms
We may update these Terms of Service from time to time. Your continued use of AtriumPay after any changes constitutes your acceptance of the new terms.
